| The market opportunity for VariaCardio®
TF5 |
| The world-wide marketplace for sales
of the VariaCardio® TF5 is immense. The opportunities for
sales range from individual physicians, cardiologists and/or
diabetologists/endocrinologists to hospitals, screening clinics,
alternative medicine facilities such as chiropractors and acupuncturists,
weight loss clinics and massage therapists, universities and
colleges, health and fitness outlets, professional sports teams,
veterinary practices and even the armed services. In the USA
alone, the number of such people and outlets totals approximately
500,000 and AMDG need only capture 5% of this market to generate
sales of some £135 million. This is expected to be achievable
within five years. Profit break-even is expected within two
years. |

| Regulatory Approvals |
| AMDG has already funded the achievement
of the European CE mark for the VariaCardio® TF5 and is
well advanced in preparing the necessary information to obtain
FDA 510(k) approval to market the VariaCardio® TF5 in the
USA. Our FDA submission is due to be completed by the end of
September 2002 and we plan sales to commence in the USA in May
2003. In addition, product registration and regulatory approvals
are currently being prepared for Japan. |

| Heart Rate Variability (“HRV”)
Clinical Advocacy |
| Numerous scientific studies throughout
the world have shown that the use of Heart Rate Variability
monitors can detect the onset of cardiovascular disturbance
prior to any signs of damage to the heart.
The VariaCardio® TF5 is the first instrument in the world
to offer doctors an easy and fast telemetric analysis of Heart
Rate Variability. The high sampling frequency and advanced
statistical analysis ensures accurate results in only 15 minutes,
unlike existing other methods which require tests lasting
24 hours and are vulnerable to inaccuracies. In addition,
remote screening and diagnosis is possible through the use
of sophisticated software that requires minimum training.

| Existing Medical Partners and Distributors |
| In the UK AMDG is working in close collaboration
with both Dr Jim Nolan’s hospital (Stoke City General)
and Dr. Mike Chester (at the Cardiac-Thoracic Centre, Liverpool
and the National Refractory Angina Centre, Liverpool). A 'two
centre' study to further refine and validate the VariaCardio®
TF5 for cardiac risk stratification.
AMDG has appointed Beaver Medical as a distributor in the
UK to represent the VariaCardio® TF5 in the NHS and Private
Hospital sector and will shortly sign a distribution agreement
with EU-Medical to represent the VariaCardio® TF5 in Germany
Following several presentations in the USA, AMDG has received
many extremely favourable responses regarding the possibilities
of setting up regionwide distribution agencies in both Southern
California, Florida, New York, Arizona and Minneapolis in
the USA . |

| Funding Requirement |
| AMDG wishes to invite interested parties
to participate in this exciting new opportunity as either shareholders
or debt providers.
There is an initial opportunity for investment in the AMD
Group Company in order to raise £675,000 net to fund
the initial working capital requirements up and until the
achievement of FDA approval for the VariaCardio® TF5 (targeted
for April 2003). |
